Messaging Terms of Use

NORTHSTAR EMERGENCY MEDICAL SERVICES, INC. & NORTHSTAR’S AFFILIATES (HERETO COLLECTIVELY REFERRED TO AS NORTHSTAR) MESSAGING TERMS OF USE:

By "Opting In" to or using a “Message Service” (as defined below) from NORTHSTAR, you accept these Terms & Conditions. THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED BELOW.

This agreement is between you and NORTHSTAR. All references to "NORTHSTAR," "we," "our," or "us" refer to NORTHSTAR, with headquarters at 2106 17th Ave, Tuscaloosa, AL 35401.

DEFINITIONS

"Opting In," "Opt In," and "Opt-In" refer to requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, responding to, or otherwise consenting to receive one or more messages.

"Message Service" includes any arrangement or situation in which we send one or more messages addressed to your mobile phone, including, but not limited to, text messages (such as SMS, MMS, or successor protocols or technologies), Microsoft Teams (including all communication methods contained within), and Twilio.

CONSENTING TO MESSAGING

By consenting to receive messages from us, you agreed to these Messaging Terms and Conditions, as well as our HIPAA Notice, incorporated herein by reference.

E-SIGN DISCLOSURE

By agreeing to receive messages, you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by emailing IT at support@northstar-ems.us or calling (205)-210-9119.

NORTHSTAR MESSAGE SERVICE PRIVACY POLICY

We respect your privacy. We only use information you provide through this service to transmit messages and respond to you. Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. This information will not be shared with any third parties. Nonetheless, we reserve the right always to disclose any information as necessary to satisfy any law, regulation, governmental request, or contract, to avoid liability, or to protect our rights or property. This Message Service Privacy Policy applies to your use of the Message Service and isn't intended to modify our general HIPAA Notice, incorporated by reference above, which may govern the relationship between you and us in other contexts.

COSTS OF MESSAGES

We do not charge you for the messages you send and receive via message service. But message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

FREQUENCY OF MESSAGES

Messaging Service is for work-related communication between our employees. We may send you an initial message providing details about the service. After that, the number of messages you receive will vary depending on how you use our message service and whether you take steps to generate more or less messages from us.

OPTING OUT OF MESSAGES

If you no longer want to receive messages, you may contact IT by emailing support@northstar-ems.us or calling (205)-210-9119.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”) before a single arbitrator. The arbitration shall take place in Tuscaloosa, Alabama, unless otherwise agreed by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties understand that by agreeing to arbitrate, they are waiving their right to bring an action in court or to have a jury trial.

Class Action Waiver

To the fullest extent permitted by applicable law, all disputes shall be resolved on an individual basis. The parties agree that any arbitration or proceeding shall be limited to the dispute between NorthStar and the individual party. To that end, the parties expressly waive any right to participate as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator shall not have authority to consolidate claims or to otherwise preside over any form of a representative or class proceeding.

Severability

If any provision of this Agreement, including the Binding Arbitration or Class Action Waiver provisions, is found to be invalid, illegal, or unenforceable in whole or in part, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. If the Class Action Waiver is found to be unenforceable, the entirety of the Binding Arbitration provision shall be null and void.
